3. Intellectual Property
All content on this website, including text, graphics, logos, service descriptions, and project photography, is the property of Jencons Enterprises Limited or is used with the permission of the relevant rights holder, and is protected under applicable copyright and trademark law. Project photographs may depict completed or ongoing works carried out for our clients. No part of this website may be reproduced, distributed, or used for commercial purposes without our prior written permission.
4. Quotations, Proposals & Tenders
Service descriptions, project examples, and pricing indications (where mentioned) on this website are provided for general informational purposes only and do not constitute a binding quotation, offer, or contract. Formal, binding proposals are issued directly to a prospective client following a project consultation, site assessment, and scope definition. Where Jencons participates in a tender or procurement process, that submission is governed by the specific terms, forms, and conditions issued by the procuring entity.
5. Scope of Works & Contract Precedence
Any construction, engineering, solar, or waterworks project undertaken by Jencons is governed by a separate written contract, Letter of Award, or Local Service Order specific to that engagement, setting out the agreed scope, specifications, price, and schedule. In the event of any conflict between that signed agreement and general information presented on this website, the signed agreement shall take precedence.
6. Payment Terms & Retention
Payment terms, including any deposit, milestone, or staged payment structure, are set out in the specific contract governing each engagement. Consistent with standard construction industry practice in Kenya, a retention sum (typically a percentage of the contract value) may be withheld by the client and released upon satisfactory completion of the defects liability period, as agreed in the relevant contract.
7. Variations to Scope
Any change to the agreed scope of works, specifications, materials, or project schedule must be documented in writing and agreed by both parties before implementation. Variations may result in adjustments to the contract price and completion date, as reflected in a signed variation order.
8. Health, Safety & Site Access
Jencons maintains a zero-accident-tolerance policy and operates in line with OSHA-aligned Health, Safety & Environment (HSE) practices, as described on our Health & Safety page. All personnel, subcontractors, clients, and visitors accessing an active project site must comply with our site safety rules, including the use of appropriate personal protective equipment (PPE) and adherence to site access controls. Jencons reserves the right to deny or restrict site access to anyone who does not comply with these requirements.
9. Quality Assurance & Workmanship
All works are carried out in line with our phase-by-phase inspection process and use of verified materials, as described on our Quality Assurance page. Unless a different period is expressly agreed in the signed contract, a standard twelve (12) month defects liability period applies from the date of practical completion, during which Jencons will remedy defects arising from faulty workmanship or materials, at no additional cost, subject to the terms of the applicable contract.
10. Warranties & Disclaimers
This website and its content are provided on an “as is” and “as available” basis. While we take reasonable care to ensure that information about our services, certifications, and completed projects is accurate and up to date, we do not warrant that this website is free of errors, omissions, or interruptions, and we make no warranty that content will remain current at all times. Any reliance you place on information from this website, outside of a formally signed contract, is at your own discretion.
11. Limitation of Liability
To the fullest extent permitted under the laws of Kenya, Jencons Enterprises Limited shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from your use of, or inability to use, this website. Liability for the performance of any construction, engineering, solar, or waterworks service is governed exclusively by the terms of the specific signed contract for that engagement, and not by this website or these Terms.
12. Indemnification
You agree to indemnify and hold harmless Jencons Enterprises Limited, its directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your misuse of this website or breach of these Terms.
13. Confidentiality
Information exchanged in the course of an enquiry, tender submission, proposal, or project engagement is treated as confidential and used solely for the purpose of evaluating and delivering that engagement, consistent with our Privacy Policy. Both parties to a project agreement are expected to maintain the confidentiality of commercially sensitive information shared during the course of the engagement.
14. Force Majeure
Jencons shall not be liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including but not limited to adverse weather, natural disasters, civil unrest, government action, strikes, or disruption to the supply of materials or equipment.
15. Termination
Project engagements may be suspended or terminated in accordance with the terms set out in the specific signed contract governing that engagement. We reserve the right to suspend or restrict access to this website, at our discretion, for any user who breaches these Terms.
16. Dispute Resolution
In the event of a dispute arising from these Terms, this website, or a project engagement, the parties shall first attempt in good faith to resolve the matter through direct negotiation. Where a resolution cannot be reached, either party may refer the dispute to mediation or arbitration in accordance with the Arbitration Act of Kenya, before resorting to litigation.
17. Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, this website, or any engagement with Jencons Enterprises Limited, shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any legal action or proceedings shall be filed and heard exclusively within the courts of Nairobi County, Kenya.
18. Severability & Changes to These Terms
If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. We may revise these Terms of Use from time to time to reflect changes in our operations or applicable law. The “Effective Date” at the top of this page indicates when it was last revised, and continued use of this website following any update constitutes acceptance of the revised Terms.
